Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us directly to attempt to resolve any dispute informally. We will make good faith efforts to resolve any dispute within 30 days of receiving notice of the dispute.

Mediation

If a dispute cannot be resolved informally, you agree to attempt to resolve the dispute through mediation. Mediation will be conducted by a mutually agreed-upon mediator in Los Angeles, California, or through an online mediation service. The costs of mediation will be shared equally between the parties.

Arbitration

If mediation is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms of Use or the breach, termination, enforcement, interpretation, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Los Angeles, California, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator's decision will be final and binding.

You and we agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and we each waive any right to a jury trial.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm, without first engaging in mediation or arbitration.

Changes to Terms

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after any changes constitutes acceptance of those changes.

We will notify you of material changes to these Terms of Use by posting a notice on our website or by sending you an email notification, where appropriate.

Applicable Law

These Terms of Use and any disputes arising out of or relating to these Terms of Use or our services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Use will otherwise remain in full force and effect and enforceable.
